​These Terms of Submission and Assignment outline your rights and responsibilities when submitting content to FAFO TV. Please read this agreement carefully before proceeding.

Content Guidelines

You agree not to submit any content that includes:

​

• Pornography or sexually explicit material

• Depictions of illegal activities

• Material that you do not own or for which you do not have the necessary permissions and licenses to submit

2. Submission Agreement

​

By uploading and submitting content (“Content”) to FAFO TV (“FAFO,” “We,” “Us,” or “Licensee”) through our website, digital channels, or any other means (including text messaging, social media platforms, or public chat rooms), you (“Content Submitter” or “Licensor”) agree to these Terms of Submission and Assignment (“Terms” or the “Agreement”).

By submitting Content, you acknowledge that you are at least 18 years old, an emancipated minor, or possess legal parental or guardian consent. You affirm that you have full legal authority to grant FAFO TV the rights provided herein and that your submission of Content will not violate any third-party rights.

3. Definition of Content

“Content” includes, but is not limited to, any intellectual property, video, audio, artwork, text, messages, ideas, concepts, stories, character characterizations, treatments, formats, photographs, drawings, logos, graphics, and all forms of audiovisual works and recordings. This includes all associated intellectual property rights, names, likenesses, voices, profiles, and biographical information you submit to FAFO TV.

4. Grant of Rights

For good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), including the mere possibility of FAFO TV's use, marketing, publicity, promotion, distribution, and/or monetization of the Content, you grant FAFO TV an exclusive, worldwide, perpetual, irrevocable, royalty-free license to all rights you hold in the Content. This includes the right to use, alter, modify, reproduce, distribute, sublicense, advertise, publish, and otherwise exploit the Content in any manner and through any media, whether now known or hereafter discovered, for any purpose FAFO TV deems fit.

5. Royalties

FAFO TV may, at its sole discretion, provide you with compensation in the form of royalties. If applicable, you will be entitled to receive 20% of the revenue generated from licensing, advertising, and other proceeds related to the Content. Payments will only be released when your earnings reach a minimum of USD $50.

6. Representations and Warranties

You represent and warrant that:

​

a) You have full legal authority to enter into and perform under this Agreement.

b) You own or control 100% of the copyrights and all other rights in the Content, or have obtained all necessary permissions.

c) The Content does not infringe on the rights of any third party.

d) The Content is free from any liens or claims that would affect FAFO TV's rights.

e) The Content complies with all applicable laws and regulations.

7. Indemnification

​

You agree to indemnify, defend, and hold harmless FAFO TV, its affiliates, successors, and assigns from any claims, damages, liabilities, costs, and expenses arising out of your breach of this Agreement or FAFO TV’s use of the Content as authorized herein.

8. Attorney-in-Fact

​

You hereby irrevocably appoint FAFO TV as your attorney-in-fact to execute any documents necessary to enforce the terms of this Agreement, including copyright-related actions against unauthorized third parties.

9. Confidentiality

​

You agree to keep the terms of this Agreement confidential, disclosing it only to your legal or financial advisors, or as required by law.

10. Limitation of Remedies

​

Your sole remedy in the event of any legal action against FAFO TV is monetary damages, if any, actually suffered by you. You waive any right to equitable or injunctive relief against FAFO TV or any third party who may sublicense the Content.

11. Assignment

​

FAFO TV may assign its rights and obligations under this Agreement to any third party without your consent. This Agreement will be binding upon and inure to the benefit of the parties and their respective successors and assigns.

12. Governing Law and Dispute Resolution

​

This Agreement will be governed by the laws of [Your Jurisdiction]. Any disputes will be resolved through arbitration in accordance with the procedures of the Arbitration Association of [Your Jurisdiction]. The prevailing party will be entitled to recover arbitration fees and reasonable attorney's fees.

13. Severability

If any provision of this Agreement is found to be invalid, the remaining provisions will continue in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire understanding between you and FAFO TV and supersedes all prior agreements, whether written or oral, related to the subject matter hereof.

15. Intellectual Property Assignment

​

By submitting Content to FAFO TV, you assign all intellectual property rights in the Content to FAFO TV for the duration of this Agreement.
